Corporate Governance & M&A Documentation
At the heart of d&a partners’ corporate practice, Lydia advises on the full spectrum of corporate governance matters — board and shareholder decision-making, amendments to articles of association, and the ongoing legal oversight of client entities.
She also leads on the documentation of M&A transactions: letters of intent, sale and purchase agreements, indemnification provisions, management agreements, as well as the negotiation of the non-disclosure agreements that underpin every transactional process.
Innovative Financing Instruments — BSA Air Warrants, BSPCE & Tokens
Lydia has deep expertise in the financing and incentive instruments that underpin startup and Web3 ecosystems, advising across their full life cycle — design, structuring, negotiation and documentation.
Her practice spans fast-track investment warrants (BSA Air), founder share warrants (BSPCE) and tokenised instruments, including the structuring of utility and governance tokens within the applicable regulatory framework, in close coordination with the firm’s crypto-asset specialists.
Structured Financing & Capital Markets Transactions
Lydia advises on a broad range of capital markets and structured financing transactions — public offerings, private placements and bond issuances — supporting issuers and investors alike throughout the process.
Her command of these mechanisms, paired with strong knowledge of regulated environments, allows her to operate at the intersection of legal structuring and financing strategy.
Real Estate, Crypto-Asset & Data Centre Investments
Lydia advises investors on transactions involving high strategic value assets, structuring real estate acquisitions, setting up dedicated investment vehicles and steering deals through to closing.
She also advises on investments in the digital economy, particularly crypto-assets and data centers — fast-growing sectors where the convergence of traditional business law and technological issues calls for the cross-disciplinary expertise the firm has long developed.

Before joining d&a partners, Lydia built her expertise in an M&A advisory environment serving institutional clients, acting for both buy-side and sell-side parties on large-scale transactions in both France and
Canada — an experience that gave her a rigorous approach to negotiating and structuring complex transactions.
She has advised a broad range of clients: large corporations, corporate groups and family-owned businesses.
Her work advising family-owned groups also gave her a particular sensitivity to governance and succession issues, complementing her transactional expertise.
